Qualifications of Outside Counsel and Disclaimer

Artaev at Law PLLC (the "Firm") is qualified outside legal counsel that has been retained by the Developer to research and provide this opinion. The managing partner of the Firm is Dan Artaev, who is a licensed attorney and has been practicing in Michigan since 2010. Mr. Artaev has ad vised businesses on various topics, including compliance with gambling or gaming laws across the United States and emerging cryptocurrency issues. The legal conclusions in this opinon are based on the information provided by the Developer. The Firm reviewed the Game concept based on the provided information, tested a demo version of the Game, and assumes the infor mation provided is true and correct for the purposes of this opinion.

This memorandum is based on existing case law and legislation as of the date of this memoran dum, as well as reasonable interpretations and conclusions based on such case law and legisla tion. The laws may change at any time, particularly in the minimally regulated blockchain indus try and the skill-based real-money gaming sector. A state or federal agency may disagree with the legal analysis of this memorandum and a reviewing court may reach a different outcome or conclusion. Furthermore, local, state, or federal agencies and authorities may still conduct inves tigations, issue subpoenas, deliver “cease and desist” letters, and otherwise take formal or infor mal legal action against the Developer in relation to the Game.
